Terms of Service

1. Acceptance of Terms

By accessing or using the Cactus Labs platform ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

Cactus Labs provides AI-powered commercial real estate underwriting tools. The Service analyzes uploaded documents (rent rolls, T-12 statements, offering memos) and generates financial models and analyses using proprietary AI models.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree to use the Service only for lawful purposes related to commercial real estate analysis. You may not reverse engineer, decompile, or attempt to extract our AI models or proprietary algorithms.

5. Your Content

You retain ownership of all documents and data you upload to the Service. By uploading content, you grant Cactus Labs a limited license to process and analyze that content solely to provide the Service to you.

You represent that you have the right to upload and process all content you submit, and that doing so does not violate any confidentiality agreement or third-party rights.

6. AI-Generated Output

Analyses and financial models generated by the Service are intended as decision-support tools, not as financial advice. You are responsible for independently verifying all outputs before making investment or lending decisions.

7. Limitation of Liability

Cactus Labs shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to investment losses based on AI-generated analyses.

8. Termination

Either party may terminate this agreement at any time. Upon termination, your right to access the Service ceases immediately. We will make your data available for export for 30 days following termination.

9. Governing Law

These terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict of law provisions.
